1.Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the NexLock platform, website (nexlock.in), dashboards and applications (the "Service"), provided by PINGASH INFOCOMM PVT LTD ("NexLock", "we", "us"). By registering for, accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you are authorised to bind that business.

2.The Service

NexLock provides software that allows retailers, distributors and finance partners to enroll, monitor, lock and unlock devices sold on EMI/installment plans. Features include remote lock & unlock, auto-lock on missed EMI, instant unlock on payment, device tracking, geo-fence alerts and a management dashboard.

3.Accounts & Eligibility

• You must provide accurate, current and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must notify us immediately of any unauthorised access or security breach.
• The Service is intended for lawful business use by eligible retailers, lenders and financing businesses.

4.Customer Consent & Lawful Use

When you enroll a device belonging to your end customer, you are responsible for obtaining all necessary consents and for using the locking, tracking and geo-fence features only in accordance with applicable law and the terms of your financing agreement with that customer. You agree not to use the Service for harassment, unlawful surveillance or any purpose that violates a customer's legal rights.

5.Fees & Payment

Access to paid plans is charged on a per-device, per-month basis (or as otherwise agreed for Enterprise plans). Prices shown on the website are indicative and may change. You agree to pay all applicable fees and taxes. Failure to pay may result in suspension or termination of access. Refunds are governed by our separate Refund Policy.

6.Acceptable Use

You agree not to:

• Reverse engineer, copy, resell or misuse the Service or its software.
• Attempt to bypass, disable or interfere with security or anti-tamper features.
• Upload malicious code or use the Service to harm any person or system.
• Use the Service to store or transmit unlawful content.

7.Intellectual Property

All rights, title and interest in the NexLock software, brand, logos and content belong to PINGASH INFOCOMM PVT LTD. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription. No ownership rights are transferred to you.

8.Service Availability

We aim for high uptime but do not guarantee that the Service will be uninterrupted or error-free. Certain locking rules are designed to work offline, but connectivity, device settings or third-party factors may affect performance. We may perform maintenance or updates from time to time.

9.Limitation of Liability

To the maximum extent permitted by law, NexLock shall not be liable for any indirect, incidental, special or consequential damages, or for loss of data, profits, devices or business, arising from your use of or inability to use the Service. Our total liability for any claim shall not exceed the fees paid by you for the Service in the three (3) months preceding the claim.

10.Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service unlawfully. On termination, your right to use the Service ends, though certain provisions (such as payment, IP and liability) survive.

11.Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts at Gurugram, Haryana.
